With the commencement of economic reform in China and the subsequent dramatic growth in its economy and of private enterprise both Chinese and foreign, the company law of China has become of great importance. In this pioneering and comprehensive study, Gu Minkang provides a clear picture of the major topics of China's company law. Based on his wide knowledge of Chinese, American and European Union law, he adopts a comparative approach to enhance his analysis and to strengthen his readers' understanding.
Recognizing that the Company Law is still in the process of formation, Gu Minkang in this volume provides an historical introduction, discusses the evolution of the current law, the factors that continue to shape its development and the directions in which it is evolving. He then goes on to discuss the nature of companies, the constitution of companies, the establishment of limited liability companies, the establishment of joint stock companies, directors and boards of directors, boards of supervision, and the role of the workers, the Communist Party and of company secretaries in corporate governance. Moving over to financial topics, he reviews corporate finance, mergers and acquisitions, and bankruptcy proceedings.
This comprehensive and up-to-date presentation of Chinese company law will be of value to all who are involved in business with and in China and their legal advisors, and for students of Chinese company law.
